Reason for Recommended Action/Background
The purpose of this item is to ratify Board actions authorizing two agreements on January 23, 2024 that may indirectly, through anticipated future subcontracts or other arrangements, benefit local non-profits and other entities not specifically named as parties to either agreement. The agreements relate to funding support for an Esparto Unified School District (EUSD) project (Item 13) and the provision of voluntary income tax assistance (Item 22).  Relevant portions of each item as well as a prior Board item (Item 50 on the December 5, 2023 agenda) related to the EUSD project are included as Attachments A, B and C to this staff report. The potential third-party beneficiaries of each contract include the following:

Because these entities are not parties to either agreement and were not otherwise identified in the staff reports accompanying the agreements (or in the case of item 13, the template agreement and other materials) at the time of their approval on January 23, 2024, staff has determined that it is appropriate to seek Board ratification of each agreement. The ratification process is intended to allow any Board member with a potential conflict of interest to state their recusal and avoid voting on the ratification of each agreement.
