Recommended Action
  1. Approve second amendment to the Agreement Infor PO No. 2425 with Willow Glen Care Center to add funding in the amount of $235,000 for FY 2019-20, for a new contract maximum of $1,585,000 for the period July 1, 2017 through June 30, 2020; and revise and clarify agreement language; and
     
  2. Delegate authority to the Director of the Yolo County Health and Human Services Agency or her/his designee to approve two Option Year Notices not to exceed $685,000 per fiscal year, for FYs 2020-21 and 2021-22, for a 5-year maximum payment obligation not to exceed $2,989,000 (Please see Section III, B2. of Att. A. Second Amendment.)

Reason for Recommended Action/Background
On or about August 14, 2017, the County entered into an agreement otherwise known as Infor PO No. 2425 (“the Agreement”), with Willow Glen Care Center. Willow Glen Care Center is a nonprofit 501(c)(3) corporation located in Northern California.  Initially, the County entered into the Agreement to have Yolo County Medi-Cal eligible clients aged 18 and above who are diagnosed with a serious mental illness (SMI) treated at the Willow Glen Care Center’s residential care programs.
 
Willow Glen Care Center’s residential care programs provides a less restrictive environment compared to an Institute for Mental Disease for conservatees. The facilities are licensed by the Community Care Licensing Division of the California Department of Social Services. The Center specializes in serving people with difficult behavioral problems, monitoring psychotropic medications, and providing a safe and supportive environment to help residents achieve their highest level of independent functioning. 

The Agreement was executed by the County Administrative Officer under a special designated signing authority, pursuant to Minute Order No. 15-31, Item No. 9, approved by the Yolo County Board of Supervisors (BOS) on March 10, 2015. Thus, to date the Agreement has not been assigned a BOS agreement number.
 
Via this Second Amendment, the County now seeks to have eligible clients treated at the Willow Glen Care Center’s Sequoia Psychiatric Treatment Center (SPTC). The SPTC is a locked, 16-bed Mental Health Rehabilitation Center (MHRC) located in Yuba City, California.  The facility is licensed and certified by the California Department of Mental Health under the California Code of Regulations, Title 9, Division 1, to provide residential and rehabilitation services.  The SPTC will serve Yolo County clients aged 18 and older diagnosed with SMI, who do not require a higher level of acute psychiatric care, but require stabilization of their mental health condition and may temporarily require a higher level of care than licensed residential or independent living.
 
This Second Amendment also delegates authority to the Health and Human Services Agency (HHSA) Director or her/his designee to approve two Option Year Letters not to exceed $685,000 per fiscal year, for FYs 2020-21 and 2021-22, for a 5-year maximum payment obligation not to exceed $2,989,000. (Please see section III, B2. of Att. A. Second Amendment.)
 
Staff recommends approval of this amendment in order for the County to continue to provide 24-hour residential care to SMI adults that do not require placement in a more restrictive level of care; and delegation of authority to the HHSA Director for the approval and execution of Option Year letters for FYs 2020-21 and 2021-22.

Performance measures were included in the Original Agreement and are not being changed by this amendment.

Competitive Bid Process
In 2017, when the Agreement was initially entered into, there was an “any willing provider” exception to the then current Yolo County Procurement Policy granted by the BOS, providing Yolo County Health and Human Services Agency (formerly known as the Department of Alcohol, Drug, and Mental Health) the ability to contract with any willing 24/7 residential care provider.  Under that exception, Willow Glen Care Center was classified as “any willing provider” and thus was exempt from the competitive bid process.

No general funds are required by this action.  These services will be funded by Realignment.  The action increases the contract maximum by $235,000 for FY2019-20 for a total contract maximum of $1,585,000 for the period of July 1, 2017 through June 30, 2020. The amount of $235,000 for FY 2019-20 was included in the HHSA proposed budget for FY2019-20.  Related funding will be included in the requested budget process for future fiscal years.

The agreement also includes two (2) one-year extension options year (for fiscal years 2020-21 and 2021-22), in an amount less than or equal to $685,000 per fiscal year.

In no event shall the term of the Agreement extend beyond June 30, 2022 nor shall the total contract maximum exceed the amount of TWO MILLION NINE HUNDRED FIFTY-FIVE THOUSAND DOLLARS ($2,955,000), unless otherwise agreed to in writing by the parties and in conformity with the then-current Yolo County Procurement Policy approved by the Yolo County Board of Supervisors.
