Recommended Action
  1. Approve first amendment to Agreement No. 17-263 with CommuniCare Health Centers to extend the term of the agreement through June 30, 2021; add funding in the amount of $258,798.08 for fiscal year 2020-21, for a new contract maximum of $890,556.08; and revise and clarify contract language, to provide culturally appropriate and responsive services to Yolo County Latino residents, both individuals and families, with health issues, mental health illnesses, and/or substance use problems; and 
     
  2. Delegate authority to the Director of the Yolo County Health and Human Services Agency or her/his designee to approve Option Year Letters not to exceed $222,500 per fiscal year, for a 5-year maximum payment obligation not to exceed $1,113,056.08 (Please see Section III(B2) of Att. A. First Amendment).

Reason for Recommended Action/Background
This program will provide culturally appropriate and responsive services to Yolo County Latino residents, both individuals and families, with health issues, mental health illnesses, and/or substance use problems. Specifically, the program will provide a targeted outreach effort to Latino men/heads of households and will develop relationships between consumers of services, support partners, families, various service providers, and community. The intended outcomes of the program are to provide integrated health and behavioral health services that will decrease costs to Yolo County as well as to providers of health and behavioral health services for uninsured individuals; reduce mental health hospitalizations; and reduce length of stay for Latino individuals in hospitals or residential programs.  Successful efforts of this program will improve the quality of life and independence for Latino clients; expand client input on programmatic structure, outreach and treatment activities; and reduce stigma while increasing services in the Latino community.
 
Approval of this amendment will allow CommuniCare Health Centers, Inc. to continue to provide these services to individuals of all ages who are eligible for federal and state benefits programs. 
 
On October 16, 2017, the County entered into Agreement No. 17-263 with CommuniCare Health Centers, Inc. for the provision of these services for the period October 1, 2017 through June 30, 2020, in the amount of $631,758.
 
At that time, it was the intention of the Yolo County Health and Human Services Agency (HHSA) to include language allowing the HHSA Director to exercise option years and issue related option year notices for two additional fiscal years. Based on guidance at that time, HHSA included the following language in Agreement No. 17-263: 
  1. TERM 
The term of this Agreement shall be from October 1, 2017 through June 30, 2020 unless sooner terminated as provided in this Agreement. This Agreement may be extended upon written agreement of the Yolo County Health and Human Services Agency Director, and/or her/his designee, and an authorized representative of Contractor for two additional twelve (12) month periods on the same terms and conditions as set forth in this Agreement. (Emphasis added.)
 
Since this Agreement was executed, HHSA received new guidance from the Yolo County Procurement Manager regarding the sufficiency of this language and a request for increased transparency regarding the future option years. Thus, HHSA is amending Agreement No. 17-263 to add language to clarify the additional option year amounts. Please see section 3. of this First Amendment which revises Section III. Compensation and Payment Terms of Agreement No. 17-263, by adding paragraph B.2 which states:
 
B2. Option Years:  The County may exercise its option to extend the term of the Agreement pursuant to Section I, of the Agreement. Upon request of the County, Contractor shall provide a contract budget for each option year in conformance with the requirements of this Agreement. The option year contract budgets shall be sent to HHSAContracts@yolocounty.org for review and approval by the Director.  In the event that the County elects to exercise an option, County shall notify the Contractor in writing. The notice shall include the revised agreement term, approved funding amount to be added to the Agreement; and revised agreement maximum compensation, subject to the maximums set forth below:

In no event shall the term of the Agreement extend beyond June 30, 2022 nor shall the total contract maximum exceed the amount of ONE MILLION ONE HUNDRED THIRTEEN THOUSAND FIFTY-SIX DOLLARS AND EIGHT CENTS ($1,113,056.08), unless otherwise agreed to in writing by the parties and in conformity with the then-current Yolo County Procurement Policy approved by the Yolo County Board of Supervisors.

Further, this First Amendment via section 4. clarifies the language regarding the delegated authority for the HHSA Director to exercise the options and to issue related notices, by adding the following language:
 
IV.       OPTION YEAR AND AMENDMENT AUTHORITY
 
A. Director’s Authority: The Director may exercise the option year(s) and execute related option year letters in conformance with the conditions of Section III of this Agreement.  

B. Procurement Manager’s Authority: The Yolo County Procurement Manager (“Procurement Manager”) may approve and execute amendments regarding allocation of funds between categories of services, scope of services, billing rates, and other contract language changes set forth elsewhere in this Agreement provided the modifications are generally consistent with the original approved scope of the contract. This authority includes the ability to approve and execute amendments to increase to the maximum payment obligation, provided the increase is within the Procurement Manager’s Authority, as prescribed in the Yolo County Procurement Policy.
 
C. Yolo County Board of Supervisors’ Authority: All other authority to approve and execute amendments or exercise option year(s) related to this Agreement is reserved by the Yolo County Board of Supervisors.

County Counsel has approved this Agreement as to form.
 
Competitive Bid Process
On June 21, 2017, HHSA issued an RFP desiring to attract qualified community based organizations to provide Integrated Health and Behavioral Health Services for Latino individuals and Families. This RFP included a mandatory Bidder’s Conference; a cover letter with a summary of services, requirements, and timelines; and an option to either submit a proposal through the BidSync process or hand deliver a proposal to HHSA. 

HHSA received two proposals from this solicitation.  The proposals were submitted by CommuniCare Health Centers, Inc. and RISE, Inc. Both proposals were evaluated by individuals not affiliated with Yolo County as well as staff from HHSA. This review process determined both proposals met all the required qualifications necessary to successfully provide these services.

Because both proposals met all required qualifications and were of high quality both CommuniCare Health Centers, Inc. and RISE, Inc. were offered contracts to provide these identified services.

The action increases the contract maximum by $258,798.08 for a total of $870,673.08 for the period of October 1, 2017 through June 30, 2021. No general funds are required by this action.  These services will be funded by MHSA.  The amount of $258,798.08 is included in the HHSA proposed budget for FY2020-21.  The related funding will be included in the requested budget process for future fiscal years.
