Recommended Action
Approve and authorize the Chair of the Board of Supervisors to sign the eighth amendment to Agreement No. 16-113 with Northern Recycling to continue to operate the Anaerobic Composter Cells and incorporate construction, demolition and inert (CDI) debris recycling.

Reason for Recommended Action/Background
   On July 12, 2016 the Board of Supervisors approved an agreement to Northern Recycling for off-site composting of organic material received at the landfill.  Since this original agreement, several amendments have been approved to extend the term of the agreement, adjust the rates and incorporate the operation of the landfill's anaerobic composting facility.  The current term of Agreement No. 16-113 will expire June 30, 2021.

Also on July 12, 2016 the Board of Supervisors approved an agreement with B&D Geerts Construction for operation of the CDI recycling facility at the landfill. The term of this agreement will expire July 31, 2021 and B&D Geerts is not interested in an extension of this agreement.

On July 21, 2020 the Board of Supervisors approved Agreement No. 20-198 with Northern Recycling to design, construct and operate a composting facility and a CDI recycling facility. Design and construction of the facility is currently underway with a planned completion in the fall of 2022.  Therefore, there is approximately one year between the termination of the current CDI operations contract with B&D Geerts Construction and the beginning of operations of the new CDI facility under contract with Northern Recycling.
 
With only an approximate one-year gap in services between the expiration of Agreement Nos. 16-112 and 16-113 and the completion of the new Northern CDI Recycling facility, it is impractical to complete a competitive solicitation package for the services given the short one-year time frame.  Division staff negotiated an extension of Northern Recycling’s existing agreement (Agreement No. 16-113) to operate the anaerobic composting facility and include CDI recycling as the most logical transition until the new facility is constructed in 2022. Northern Recycling agreed to continued operation of the anaerobic composting facility at the current rate structure and also provided rates for operating the CDI facility that are actually lower than the existing costs under the B&D Geerts agreement.
 
Following completion of the composting and CDI facility under Agreement No. 20-198, all work would then be conducted under Agreement No. 20-198 and Agreement No. 16-113 will terminate.

County Counsel has approved the agreement as to form.
Competitive Bid Process
Agreement No. 16-113 was originally awarded based on a competitive request for proposals (RFP) process in 2016. This agreement is now being amended to continue uninterrupted green waste, food waste and CDI services until the new composing and CDI facility is constructed.

The anticipated expenditures for FY 21/22 for this agreement is $6,121,000, which is included in the Division's 2021/2022 requested budget.  Actual expenditures may differ slightly based on the actual amount of organics and CDI received at the landfill. Funding is from the various fees charged to landfill customers.
