Recommended Action
  1. Approve fourth amendment to the Agreement No. PO 2425 with Willow Glen Care Center to add funding in the amount of $131,111 for fiscal year 2019-20 and $590,000 for fiscal year 2020-21, for a new contract maximum of $2,991,111 for the period July 1, 2017 through June 30, 2021; and revise and clarify agreement language; and
     
  2. Delegate authority to the Director of the Yolo County Health and Human Services Agency (HHSA Director) or her/his designee to exercise a one-year optional extension in an amount not to exceed $800,000, for FY 2021-22, for a 5-year maximum payment obligation not to exceed $3,791,111 and issue related option year notices. (Please see Section III, B2. of Att. A. Fourth Amendment.)

Reason for Recommended Action/Background
On or about August 14, 2017, the County entered into an agreement otherwise known as Infor PO No. 2425 (“the Agreement”), with Willow Glen Care Center. Willow Glen Care Center is a nonprofit 501(c)(3) corporation located in Northern California.  Initially, the County entered into the Agreement to have Yolo County Medi-Cal eligible clients aged 18 and above who are diagnosed with a serious mental illness (SMI) treated at the Willow Glen Care Center’s residential care programs.
 
Willow Glen Care Center’s residential care programs provide a less restrictive environment compared to an Institute for Mental Disease for conservatees. The facilities are licensed by the Community Care Licensing Division of the California Department of Social Services. The Center specializes in serving people with difficult behavioral problems, monitoring psychotropic medications, and providing a safe and supportive environment to help residents achieve their highest level of independent functioning. 
 
The Agreement was executed by the County Administrative Officer under a special designated signing authority, pursuant to Minute Order No. 15-31, Item No. 9, approved by the Yolo County Board of Supervisors (BOS) on March 10, 2015. The first time this Board reviewed and approved an amendment to this Agreement was the during the review and approval of the second amendment. At that time, the second amendment was assigned BOS Agreement No. 19-242.
 
This amendment also adds a new facility called Cedar Grove Mental Health Rehabilitation Center (MHRC) which is a secure 44-bed center specializing in structured supervision and care for chronically mentally ill adults who are unable to maintain placement at lower levels of care. Cedar Grove provides a client driven, clinician supervised rehabilitation program model that will assist clients in identifying, practicing and implementing the skills necessary to reduce utilization of inpatient hospital days and provides a stable placement in a secure environment.
 
Staff recommends approval of this amendment in order for the County to continue to provide 24-hour residential care to SMI adults at appropriate levels of care; and delegation of authority to the HHSA Director for the exercising and noticing of the optional year extension for FY2021-22.

Competitive Bid Process
In 2017, when the Agreement was initially entered into, there was an “any willing provider” exception to the then current Yolo County Procurement Policy granted by the BOS, providing Yolo County Health and Human Services Agency (formerly known as the Department of Alcohol, Drug, and Mental Health) the ability to contract with any willing 24/7 residential care provider.  Under that exception, Willow Glen Care Center was classified as “any willing provider” and thus was exempt from the competitive bid process.

The new facility Cedar Grove is being sought through a Sole Source approved by the Procurement Manager.

No general funds are required by this action.  These services will be funded by Realignment.  The action increases the contract maximum by $131,111 for fiscal year 2019-20 and $590,000 for fiscal year 2020-21 for a total contract maximum of $2,991,111 for the period of July 1, 2017 through June 30, 2021. The amount of $131,111 was included in the HHSA adopted budget for FY 2019-20.  Related funding will be included in the requested budget process for future fiscal years.

In no event shall the term of the Agreement extend beyond June 30, 2022 nor shall the total contract maximum exceed the amount of THREE MILLION SEVEN HUNDRED NINETY-ONE THOUSAND ONE HUNDRED ELEVEN DOLLARS ($3,791,111), unless otherwise agreed to in writing by the parties and in conformity with the then-current Yolo County Procurement Policy approved by the Yolo County Board of Supervisors.
